End User Licence Agreement

The terms and conditions governing your use of Core365 InvoiceLink for Microsoft Dynamics 365 Business Central.

Acceptance of Terms

This End User Licence Agreement ("Agreement") is a legal agreement between you, the end user ("You" or "Licensee"), and Core365 Pty Ltd ABN 44 681 184 001 ("Core365", "We", "Us") for the use of Core365 Invoice Link software ("Software").

By clicking "Install", "Accept", or by installing, copying, or otherwise using the Software, you agree to be bound by the terms of this Agreement. If you are entering into this Agreement on behalf of a company or organisation, you represent that you have authority to bind that entity.

If you do not agree to these terms, do not install or use the Software.

Definitions

• Software — Core365 InvoiceLink, the Microsoft Dynamics 365 Business Central AppSource extension and all related components

• Business Central — Microsoft Dynamics 365 Business Central cloud service

• Peppol — Pan-European Public Procurement On-Line e-invoicing network, operated in Australia under ATO accreditation

• PINT A-NZ — Peppol International invoice standard for Australia and New Zealand

• Access Point — An ATO-accredited Peppol Access Point provider used to transmit invoices over the Peppol network

• ATO — Australian Taxation Office

• Subscription — A paid or trial licence to use the Software for a defined period

• User — Any individual accessing the Software under your Subscription

Licence Grant

Subject to the terms of this Agreement and payment of applicable fees, Core365 grants you a limited, non-exclusive, non-transferable, revocable licence to:

• Install and use the Software within your Microsoft Business Central environment

• Use the Software for your internal business invoicing and e-invoicing compliance purposes

• Allow your authorised employees and contractors to use the Software on your behalf

This licence does not include the right to sublicence, resell, or distribute the Software without a separate written reseller agreement with Core365.

The Software is licensed, not sold. Core365 retains all ownership and intellectual property rights in the Software.

Restrictions

You must not:

• Reverse engineer, decompile, or disassemble the Software

• Modify, adapt, translate, or create derivative works based on the Software

• Remove or alter any proprietary notices, labels, or marks on the Software

• Use the Software to provide services to third parties without a reseller agreement

• Share, sublicence, or transfer your Subscription to another entity

• Use the Software in any way that violates applicable laws or regulations

• Attempt to circumvent any technical limitations or licence controls in the Software

• Use the Software to transmit fraudulent, false, or misleading invoices

Subscription and Payment

Access to Core365 InvoiceLink is provided on a subscription basis via Microsoft AppSource. The following tiers are available:

Pricing is in Australian Dollars (AUD) inclusive of GST. Subscriptions are billed monthly in advance via Microsoft AppSource billing. You authorise Core365 to charge your payment method on file for recurring subscription fees.

Peppol Access Point fees are separate. Sending and receiving invoices over the Peppol network requires a commercial agreement with an ATO-accredited Access Point provider. These fees are charged directly by your Access Point provider and are not included in the InvoiceLink subscription.

Free Trial: A 30-day free trial is available for new subscribers. No credit card is required during the trial. After the trial period, a paid subscription is required to continue using the Software.

Cancellation: You may cancel your subscription at any time via Microsoft AppSource. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial months.

Data and Privacy

Your use of the Software involves processing of your business invoicing data. By using the Software, you consent to Core365's Privacy Policy available at core365.com.au/privacy.

Key data commitments:

• Your invoice and financial data is stored within your own Microsoft Business Central environment

• Core365 does not store your invoice data on Core365 infrastructure

• Invoice XML is transmitted to your chosen Access Point solely for Peppol delivery

• ABN numbers are validated against the ATO ABR public API

• Core365 will not sell or share your data with third parties except as required to deliver the service

You are responsible for ensuring you have appropriate authority to process any third-party data (such as customer or vendor information) through the Software.

ATO Compliance Responsibility

Core365 InvoiceLink is designed to assist you in meeting ATO Peppol e-invoicing requirements. However:

Important: You remain solely responsible for your compliance with all applicable ATO requirements, tax laws, and Peppol network rules. Core365 InvoiceLink is a tool to assist compliance — it does not guarantee compliance or constitute legal or tax advice.

• You are responsible for ensuring invoice data entered into Business Central is accurate and complete

• You are responsible for registering with an ATO-accredited Peppol Access Point

• You are responsible for maintaining your Peppol Participant ID registration

• Core365 is not liable for any ATO penalties, fines, or compliance failures arising from your use of the Software

Warranties and Disclaimers

Core365 warrants that:

• The Software will perform materially as described in the documentation during your Subscription period

• Core365 will use reasonable efforts to maintain the Software and correct material defects

• Core365 holds all necessary rights to grant you the licence under this Agreement

Core365 does not warrant that:

• The Software will be error-free or uninterrupted at all times

• The Software will meet all your specific business requirements

• The Software will be compatible with all future versions of Microsoft Business Central

• Third-party services (ATO ABR API, Peppol network, Access Point providers) will be available or accurate

To the maximum extent permitted by law, the Software is provided "as is" beyond the express warranties above.

Limitation of Liability

To the maximum extent permitted by Australian Consumer Law and other applicable law:

• Core365's total liability to you for all claims arising under this Agreement shall not exceed the total subscription fees paid by you in the 12 months preceding the claim

• Core365 shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity

• Core365 is not liable for failures or delays caused by third-party services including the Peppol network, Access Point providers, ATO systems, or Microsoft Business Central

• Core365 is not liable for any ATO penalties, fines, or compliance failures

Nothing in this Agreement excludes liability for death, personal injury caused by negligence, fraud, or any liability that cannot be excluded under Australian Consumer Law.

Indemnification

You agree to indemnify, defend, and hold harmless Core365 Pty Ltd, its directors, employees, contractors, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

• Your use or misuse of the Software

• Invoice data you submit, generate, or transmit using the Software

• Your failure to comply with ATO Peppol requirements or any applicable laws

• Inaccurate, incomplete, or fraudulent invoice information entered into Business Central

• Your breach of any term of this Agreement

• Any claim by a third party arising from invoices you send or receive via the Peppol network using the Software

• Your failure to maintain a valid ATO-accredited Peppol Access Point subscription

Core365 reserves the right to assume exclusive control of any matter subject to indemnification by you. You agree to cooperate fully with Core365 in asserting any available defences.

This indemnification obligation survives termination of this Agreement.
